Much of our practice is devoted to representing corporate and commercial clients in a wide variety of matters.  We regularly assist clients in planning for and creating new business entities, and we help clients identify, manage and solve the myriad legal issues that apply to the formation and continuation of such entities.  We represent clients frequently in connection with mergers, acquisitions, dispositions, spin-offs and buy-outs.  We routinely represent lenders, borrowers and other parties in connection with financing transactions.  We carefully, but efficiently, negotiate, document, and close all types of commercial transactions in a manner that serves the best interests of our clients.

We provide general and issue specific advice and counsel to both publicly and privately held corporations as well as to partnerships, limited liability companies and proprietorships, and we regularly serve as their advocates in federal and state courts and before local, state, and federal agencies.  We strive, however, to facilitate the resolution of business disputes in a conference room rather than a courtroom.  When disputes cannot be solved in a business forum, we utilize alternative dispute resolution protocols which often serve our clients' interests better than a court.  Our corporate attorneys work with our litigators, many of whom serve as mediators, arbitrators, and special masters, to ensure that the best dispute resolution forum is selected for each unique client and matter.
